Stock Photography License Agreement
This is a legal agreement between the purchaser (Licensee), and Robert G. Heard. For the purposes of these
presents, the purchaser is understood to be any natural or legal person having acquired this image on his/her
own behalf.
Should this be a natural person, the purchaser is considered to be the sole user of this image, and consequently,
the sole holder of this usage license.
Should the purchaser be a legal person, this license shall cover all of this legal person's members, associates,
employees or staff
These people shall be considered, for the purposes of this license, as users and holders of this license, and shall
be irrefragably presumed to have made themselves aware of the contents of the license and to have agreed,
without reservations, to its terms.
DOWNLOADING AND/OR USING ANY IMAGE(S) FROM WWW.RobertGHeard.COM &/or MissionsMall.org
CONFIRMS YOUR ACCEPTANCE OF THESE TERMS AND FORMS A LEGAL CONTRACT BETWEEN YOU AND
Robert G. Heard.
• Any print media, including advertising and promotional materials, editorial publications and consumer
merchandise;
• Any Internet, intranet, Online or web-based media provided the resolution of the images does not exceed 72dpi;
• Broadcast and theatrical exhibitions;
• Products intended for resale; provided these products are not intended to allow the re-distribution or re-use of
the Image(s); and
• Additional uses approved in writing by Robert G. Heard.
Licensee may alter, crop, modify or adapt the Images in connection with the above permitted uses. The Licensee
may retain one copy of the distribution file for archival purposes, provided that this archive is not redistributed in
any manner. Licensee may make a back-up copy of the Image(s) for internal back-up purposes provided Robert
G. Heard copyright and any image identifying information is retained with the file. Limited, temporary transfers of
the Images are permitted to third parties integral to the creation of the final product, provided such third parties
agree to abide by the terms of this agreement.
The Images on this website are the Property of Robert G. Heard!
Restrictions:
Licensee may not:
• Sublicense, sell, assign, or transfer this License to anyone else without prior written consent from Robert G.
Heard.
• Sell, license or distribute its final product in such a way that permits Licensee's end users to extract or access
the Images as a stand-alone file.
• Distribute, post or upload the Image(s) online in a downloadable format.
• Use any Stock Image in a pornographic, defamatory, libelous or otherwise illegal manner.
• Claim intellectual or exclusive ownership to the image modified or unmodified.
• Resell or offer for free the Image(s) in any manner whatsoever.
Disclaimer of Warranty:
The Stock Image(s) is provided on an "as is" basis without warranty of any kind , expressed or implied, including,
without limitation, any implied warranties of merchantability or fitness for a particular purpose. Robert G. Heard
does not warrant the performance of the Stock Image(s) or that the Stock Image(s) will meet your requirements.
Title and Copyright:
The Stock Images are owned by Robert G. Heard and protected by United States Copyright Law and
International Treaty provisions. Licensee must treat the Stock Image just as Licensee would any other
copyrighted material. The Stock Image remains the property of Robert G. Heard. The Stock Image is licensed,
and not sold. By paying License Fees, the Licensee is granted the right to use the Stock Image as described in
this License Agreement, but the Licensee does not assume any rights of ownership or other rights in and to the
Stock Image.
Payment Terms
No rights to use the Image(s) are granted until the invoice relating to the Image(s) is paid in full.
Consequences of License Violations:
Should the Licensee use unlicensed copies of the Stock Images without the expressed written consent of Robert
G. Heard, the Licensee is in violation of this License Agreement. If the Licensee was using any portions of the
Stock Images which ordinarily require the payment of License Fees, the Licensee agrees to pay to Robert G.
Heard the License Fees necessary to license the unlicensed Image. Additionally, Robert G. Heard may require
that the Licensee immediately and entirely remove any implementation of the Stock Image that is in breach of this
License Agreement. In addition, the Licensee shall be liable for the payment to Robert G. Heard of court costs,
attorney's fees, punitive damages, and any other legal remedy appropriate for the situation.
Should the Licensee distribute, sell, or otherwise make available any portion of the Stock Image or any
modification which is determined to be the Stock Image according to any other sections of this License
Agreement, the Licensee shall be liable for the payment to Robert G. Heard of the equivalent cost of License
Fees for the Stock Image or for all monies collected by the Licensee in violation of this License Agreement,
whichever is more. In addition, the Licensee shall be liable for the payment to Robert G. Heard of attorney's fees,
court costs, punitive damages, and any other legal remedy appropriate for the situation.
Termination:
The license contained in this Agreement will terminate automatically without notice from Robert G. Heard if
Licensee fails to comply with any provision of this Agreement. Upon termination, Licensee must immediately (i)
stop using the Image(s), (ii) destroy ,and (iii) delete or remove the Images from Licensee's premises, computer
systems and storage (electronic or physical).
This License may only be modified in writing signed by Robert G. Heard or an authorized officer of J3 Inc. Robert
G. Heard reserves the right to change and/or modify these terms without prior notice. Understand this is a legally
binding contract, and violation will have legal consequences. Should this license be violated, your acceptance of
this document will be used against you in a court of law. You will be held responsible for chargeback fees, court
costs, attorney fees and any other costs that arise from violation of the License Agreement.
Jurisdiction:
This License Agreement is governed by the laws of the State of Tennessee located in the United States of
America. Both the Licensee and Robert G. Heard submit to the jurisdiction of the courts of the State of
Tennessee. Both the Licensee and Robert G. Heard agree to commence any litigation that may arise hereunder
in the courts located in the Judicial District of Coffee County in the State of Tennessee.
This contract contains all the terms of the license agreement and no terms or conditions may be added or
deleted unless made in writing and signed by an authorized representative of both parties.
Stock Photography License Agreement

whichever is more. In addition, the Licensee shall be liable for the payment to Robert G. Heard of attorney's fees,
court costs, punitive damages, and any other legal remedy appropriate for the situation.
Termination:
